| 520 | |a يتناول هذا البحث موضوع المسؤولية القانونية التي تلحق بالشريك في الشركة ذات المسؤولية المحدودة والحالات التي تلحق المسؤولية المالية بالشريك في أمواله الخاصة خروجا على الأصل الذي تقوم عليه مسؤولية الشركاء في هذا النوع من الشركات، وقد تم خلال هذا البحث تناول قرار حكم لمحكمة التمييز الأردنية رقم 4247/ 2020، الصادر بتاريخ 10/ 12/ 2020 والقاضي بتقرير المسؤولية الشخصية والتضامنية للشريك في شركة المسؤولية المحدودة تجاه الغير عندما لا يتم مراعاة إدراج اسم الشركة ونوعها ورأس مالها على أوراق وعقود الشركة وفقا للمادة (55) من قانون الشركات الأردني، وما قرره هذا الحكم من التوسع في مسؤولية الشريك في الشركة ذات المسؤولية المحدودة خروجا على الأصل في المسؤولية المحدودة للشريك، حيث قامت المحكمة بدورها في تفسير مدلول المادة المذكورة، وقد خلص الباحث إلى أن هناك عدم وضوح في نص المادة (55) وأن القرار قد أفاد الغير على حساب هفوة الشريك أو الشركة عند عدم مراعاة ما جاء في المادة، وأوصى الباحث بضرورة أن يقوم المشرع بالتدخل صراحة لتحديد مسؤولية الشريك والشريك المدير أو المفوض بصورة صريحة. | ||
| 520 | |b The current research deals with the legal liability issue that afflicts the partner in the Limited Liability Company (LLC), and the cases that afflict the financial liability of the partner in his own funds, with contravention of the main principle in which the partners' responsibility in this type of company. During this research, comments were made on the judgment decision of the Jordanian Court of Cassation No. 4247/ 2020, issued in the judgment session on 12/ 10/ 2020 judged of determining the personal and joint liability of the partner in the Limited Liability Company (LLC) towards other when not being observed to insert the name, type and capital of the company on company papers and contracts in accordance with Article (55) of Jordanian Companies Act, and what was decided by this ruling regarding the expansion of the partner's liability in the Limited Liability Company (LLC), in contravention of the principle in the limited liability of the partner, as the court performed its role in explaining the Implications of the mentioned article. The researcher concludes that there is a lack of clarity in the text and that the decision has benefited others at the expense of the partner's or the company’s misstep when not observing the aforementioned article. The researcher recommends that the legislator should intervene to define the liability of the partner and the managing partner or commissioner. | ||
