| المستخلص: | تسعى جميع الشركات والمؤسسات إلى توظيف استثماراتها بالشكل الأمثل. ولا تتوقف حركة الاستثمار على الجوانب الاقتصادية وحدها، وإنما تمتد-أيضا-وبنفس القدر-إلى الجوانب القانونية، التي قد تقي الشركات والمؤسسات العامة مغبة خسائر فادحة. فالاستثمار لا يتحقق بحركة الكسب فقط، وإنما بالمحافظة على الكسب، وإلا تحول إلى إهدار المكاسب بأسهل الطرق. وهنا تأتي أهمية دور المستشار القانوني، إذ يتعين أن يكون بنفس درجة كفاءة الشركات والهيئات التي يمثلها. إن نجاح العاملين في أسواق المال والأعمال لا يتوقف على الكوادر الإدارية والفنية، وإنما يعتمد هذا النجاح-كذلك-على درجة وعي وصلابة المستشار القانوني. إن ما قد يميز المظهر الخارجي لشركة معينة عند المفاوضات أو التعاقد، قد يعود لقوة وتخصص ممثلها القانوني، كونه قادرا على المحافظة على حقوقها بداية من حسن صياغة العقود ومتابعة الإشكاليات القانونية التي قد يثيرها تنفيذها أو انقضائها، وانتهاء بصلابة الدفاع عنها في مرحلة فض المنازعات. ولهذه الأسباب يهتم هذا المقال ببيان مواصفات المستشار القانوني ومهاراته ومعايير اختياره، إضافة إلى الأدوار الحقيقية المتعين عليه القيام بها. All companies and institutions seeks to make its investments in the best structure. The investment does not standing only on economic sides, but also it's including the legal sides- in the same degree of importance-, because that's protect companies from big loses. Investment does not depend on how to achieve earnings; it is too important to know how to keep earnings and continues them. Without that, it will be wasting of them easily. Here, you can realize the important role of the "Legal adviser" or "councelor" who is operating and must operate in the same efficiency of such company or (entity whatever it is) who represents it. Success of the employers and employees in any job markets not standing only on technical and administrative cadres there, but also it depends on the degree of consciousness and strength of the legal adviser (councelor) there. What is distinguish certain company in the stages of delegations and contracting is rendering to what extant its legal adviser is strong and specialized. And to what extant he is able to maintain companies rights. His role starts from drafting contracts well, after that his role to follow the legal problems, which may arise in performing (executing) or expiring that contract. Finally, his role to defend about his company in the dispute resolution stage. For all the aforementioned causes (reasons), this article is interested with explaining the features of the legal adviser and his skills plus the criteria for choosing him. Last but not least, his tasks or duties who must do it. |
