| المستخلص: | يهدف هذا البحث إلى تسليط الضوء على آليات حوكمة الشركات وتأثير هذه الآليات على أسعار الأسهم في سوق الأوراق المالية، ومدى قدرة المستثمرين في الاعتماد على مؤشر الحوكمة في تقييم أداء الشركات، واتخاذ القرارات الاستثمارية، وتوصلت الدراسة إلى أن تطبيق مبادئ الحوكمة في الشركات يساعد المستثمرين والدائنين وغيرهم من الأطراف الخارجية في اتخاذ قراراتهم الاستثمارية، وذلك من خلال الحصول على معلومات محاسبية ذات جودة عالية تتسم بالشفافية في ظل تطبيق مبادئ الحوكمة، مما يساعد في زيادة حركة التداول وتحسين الأداء في سوق المال، حيث أن هذه المعلومات الناتجة من تطبيق مبادئ الحوكمة تعمل على تخفيض درجة عدم التأكد الخاصة بالقرار الاستثماري مما يساعد المستثمر على اتخاذ القرار السليم، كما تساعد في التنبؤ بقيمة الأسهم والتدفقات النقدية التي تتولد عن عمليات المنظمة، والاختيار الأمثل لمحفظة الأوراق المالية، كما تعمل على تعظيم القيمة السهمية للشركة في الأسواق العالمية ومن ثم تعتبر حوكمة الشركات إحدى الأدوات الفعالة لتشجيع الاستثمار في سوق الأوراق المالية، وإعداد قوائم مالية صادقة وموضوعية لها تأثير كبير على اختيارات المستثمرين وبالتالي على حركة أسعار الأسهم. This research aims to shed some light on corporate governance mechanisms and their impact on share prices in stock market. Also, the research examines the extent to which investors are able to depend on governance indicator in evaluating companies performance and making investment decisions. In addition, this study found that applying governance principles in companies helps investors, creditors and other external parties in making their investment decisions. This is achieved through having high quality and transparent accounting information under the application of governance principles. Accordingly, this helps to increase trading and improve performance in capital market. Furthermore, this information resulting from the application of governance principles decreases the uncertainty of investment decisions. Consequently, this helps the investor in making proper decisions. Also, this information helps to predict the value of shares and cash flows which are generated from organization operations. Also, it helps to achieve the best choice of stock portfolio and maximizes the share value of company in international markets. as a result, corporate governance is one of the effective tools that encourage investment in stock market and preparing true and objective financial statements which have a great impact on investor choices and accordingly on the movement of share prices. |
