| المستخلص: | يهدف حماية الغير، وبدرجة أكبر حماية الادخار العام رتب المشرع الجزائري مسؤولية جزائية على عاتق مؤسسي شركات المساهمة، في حالة ما إذا ارتكبوا مخالفة من المخالفات المنصوص عليها في القانون التجاري، إلا أن الملاحظ أن معالجة المشرع لهذه المسؤولية لم تكن موفقة. وتحاول هذه الدراسة تسليط الضوء على المسؤولية الجزائية لمؤسسي شركات المساهمة في القانون الجزائري، مقارنة مع القانون الفرنسي، بشكل نقدي للنصوص المنظمة لأحكام هذه المسؤولية لدى المشرع الجزائري. Afin de protéger les tiers et, en général, de protéger l'épargne publique, le législateur algérien a consacré la la responsabilité pénale des fondateurs des sociétés par actions dans le cas où ils ont commis une infraction prévu dans la loi commerciale. Cependant, il convient de noter que le législateur n'a pas réussi à cet égard. Cette étude tente de mettre en lumière la responsabilité pénale des fondateurs des sociétés impliquées dans le droit algérien, par rapport au droit français, d'une manière critique. In order to protect others, and to a greater extent, to protect public savings, the Algerian legislator placed a penal liability on the founders of the joint stock companies, in case they committed one of the violations provided in the commercial law. However, it is noted that the legislator's treatment of this responsibility was not successful.
