| المستخلص: | This article discusses the concept of corporate governance through the approach of the Agency's theory and the characteristics of the Agency's relationship with the public institutions, and it then deals with the problem of ineffectiveness due to the ineffectiveness of the mechanisms of its governance. Finally, it calls for reviewing and reforming the mechanisms of governance of public institutions to improve their efficiency, using the mechanisms applied at the level of private business sector.\nThis abstract translated by Dar AlMandumah Inc 2018. هذا المقال يتطرق إلى مفهوم حوكمة المؤسسات من خلال مقاربة نظرية الوكالة و خصائص علاقة الوكالة عند المؤسسات العمومية ، تم يتعرض إلى إشكالية عدم فاعليتها نتيجة عدم فاعلية ميكانيزمات حوكمتها ،و في الأخير يدعو إلى ضرورة إعادة النظر في ميكانيزمات حوكمة المؤسسات العمومية وإصلاحها لتحسين فاعليتها ، بالإستفادة من الميكانيزمات المطبقة على مستوى المؤسسات الخاصة . L'article présent introduit très brièvement, le concept de la gouvernance d’entreprise, en privilégiant l’approche de la théorie de l’agence, Il expose les problèmes d’efficacités des entreprises publiques liées à la défaillance des mécanismes de sa gouvernance. En second lieu, il permet de réfléchir à la pertinence, de s'inspirer des mécanismes de gouvernance des entreprises privées pour améliorer l’efficacité et le fonctionnement des entreprises publiques. |
