| المستخلص: | هدفت الدراسة إلى التعرف علي دور الحوكمة والمسؤولية الاجتماعية في تحسين أداء المؤسسات، وذلك من خلال استقصاء أراء المبحوثين في مؤسسة سوناطراك-مديرية الصيانة-بسكرة، وشمل مجتمع الدراسة كل إطارات المؤسسة.\nوتوصلت الدراسة إلى أن هناك ارتباط قوي بين الحوكمة بأبعادها الثلاثة (مسؤوليات مجلس الإدارة، الإفصاح والشفافية، حماية حقوق المستثمرين) وبين الأداء ببعديه (الكفاءة، الفعالية) في المؤسسة محل الدراسة. كما أشارت نتائج الدراسة إلى وجود دور كبير ذو دلالة إحصائية بين الإفصاح والشفافية والأداء، وهذا راجع إلى أن المؤسسة تعمل بكل شفافية عند تنفيذ المهام مع القيام بالإفصاح عن المعلومات المهمة التي يعتمد عليها المسريين في اتخاذ القرارات.\nوأوصت الدراسة بضرورة أن يولي المسيرين في المؤسسات اهتماما أكبر للمسؤولية الاجتماعية لما لها من أهمية في تحسين صورة المؤسسة. كما أوصت أيضا بضرورة العمل على تحديث الأطر القانونية والتنظيمية التي توفر الحماية اللازمة للمستثمرين.\n L'étude visait à identifier le rôle de la gouvernance et la responsabilité sociale dans l'amélioration de la performance des entreprises, par l'enquête des cadres de l'entreprise sonatrach-Biskra.\nL'étude a conclu qu’il existe une forte corrélation entre la gouvernance avec ses trois dimensions (les responsabilités du conseil d'administration, la divulgation et la transparence, la protection des droits investisseurs) et la performance avec scs deux dimensions (efficience, efficacité) dans l'entreprise étude de cas.\nLes résultats de l'étude ont indiqué la présence d'un grand rôle statistiquement significative entre la divulgation et la transparence, et la performance. Cela est dû à l'organisation qui fonctionne en toute transparence la mise en œuvre des tâches à faire avec la divulgation de l'information importante invoquée par les gestionnaires dans la prise de décision.\nL'étude a recommandé la nécessité de prêter attention aux gestionnaires dans les institutions de la responsabilité sociale en raison de leur importance dans l'amélioration de l'image de l'entreprise. Il a également recommandé la nécessité de travailler également sur la mise à jour des cadres juridiques et réglementaires qui assurent une protection à la crise des investisseurs.\nLes mots clés: gouvernance, les responsabilités du conseil d'administration, la divulgation et la transparence, la protection des droits investisseurs, la responsabilité sociale, performance.\n The study aimed to identify the role of governance and the social responsibility in improving the performance of the institutions through surveying the opinions of the respondents at Sonatrach - Maintenance Directorate - Biskra.\nThe study found that there is a strong correlation between the governance with its three dimensions (the responsibilities of the governing council, the disclosure and the transparency, protecting the rights of the investors) and the performance with its dimensions (the efficiency and the effectiveness) in the institution under study. The results of the study indicated that there is a significant role of a statistical significance between the disclosure, the transparency and the performance. This is related to the fact that the institution works transparently in carrying out the tasks and disclosing the important information that the decision makers rely on.\nThe study recommended that the managers in the institutions should pay greater attention to the social responsibility because they are important in improving the image of the institution.
