| المستخلص: | لم يعد التحكم المؤسسي اليوم مجرد أنظمة وإجراءات تتبعها المنظمات بهدف حماية المساهمين وأصحاب المصالح الأخرى ذات العلاقة بالمنظمة بل أصبح التحكم المؤسسي يحقق الأداء الناجح للمنظمة ولا يتحقق ذلك إلا بوعي المنظمة لمسؤولياتها تجاه الأطراف العديدة ذات العلاقة بها واضطلاع مجلس إدارتها بدور جديد في تحقيق هذه المسؤوليات كون المنظمة نظاما مفتوحا في بيئة ديناميكية تفرض على المنظمة تحديات جديدة تجعل التغيير والتطوير مهما جدا لغرض الحفاظ على سمعة المنظمة وجعلها تضيف قيمة للبيئة التي تعيش فيها، لذا جاءت هذه الدراسة لتسلط الضوء على البعد الاستراتيجي للمسؤوليات التي تلتزم بها أدارة المنظمة وإمكانية تحقيق المساءلة عن مدى التزامها بهذه المسؤوليات تجاه المجتمع والبيئة. ودراسة واقع البيئة العراقية في التعبير عن مسؤولية المنظمة في الشركات المساهمة واستخدمت الدراسة أسلوب الاستبانة في جمع المعلومات وتحليلها من خلال بعض الأساليب الإحصائية. وتوصلت إلى انه تواجه الإدارة المعاصرة حاجة متزايدة للإفصاح عن الأداء البيئي والاجتماعي من الزبائن وحملة الأسهم وغيرهم من أصحاب المصالح لأغراض تحقيق المساءلة عن الأداء المالي وغير المالي للمنظمة باتجاه تطبيق التحكم المؤسسي وتعدّ الشركات المساهمة العراقية ميدانا خصبا لتطبيق مبادئ التحكم المؤسسي في الوقت الذي تواجه فيه هذه الشركات العديد من التحديات التي تفرض عليها الإصلاح والتكييف نحو تطبيق مبادئه. And concluded that face contemporary management is a growing need for the disclosure of environmental and social performance of customers, shareholders and other stakeholders for the purpose of achieving accountability for financial performance and is the organization's financial direction of the application of corporate governance and companies are contributing Iraqi arena fertile ground for the application of the principles. |
