| المستخلص: | تعتبر المسؤولية الجنائية لمسيري الشركات التجارية من اهم المواضيع الحديثة التي يتوجب دراستها ضمن الدراسات والأبحاث القانونية فالأمر يتعلق بدراسة، تعتمد على أسس فرعين من فروع القانون الخاص، القانون التجاري الذي يعتمد على الحرية ومبادئ التدبير والقانون الجنائي الذي يروم ضبط السلوك داخل المجتمع وفرض الاحترام والإذعان للقواعد الأساسية التي تتصل بالنظام العام والآداب العامة. ولا شك أن الشركات التجارية والمقاولات بصفة عامة، أصبحت مصلحة تسترعي الاهتمام وتوفير الحماية لكونها تندرج ضمن مقومات وأسس النظام العام الاقتصادي الذي شكل بدوره مجالا، تدخل فيه المشرع باستعمال وسائل الزجر بغية تحقيق التوازن بين المبادرة الحرة للأفراد وضرورات التقيد بالمبادئ العامة التي تضبط المعاملات الاقتصادية المبنية أساسا على الضمان والشفافية ومراعاة مصالح المتعاملين. ولتفعيل وإثارة مسؤولية مسيري الشركات التجارية التي تعتبر أهم مقومات النظام العام الاقتصادي، لابد من بحث دور النيابة العامة في هذا المجال وكيفية تعاملها مع إثارة الدعوى العمومية في هذا الصدد وكيفية الكشف عن الأفعال التي تثار بشأنها مسؤولية المسيرين. The criminal liability of business managers is one of the most recent topics to be studied in legal studies and research. This is a study based on two branches of private law, the Commercial Code, which is based on freedom, the principles of measure and the Criminal Code, which aims at controlling conduct within society and imposing respect for and obeying basic rules relating to public order and morals. In general, commercial and contracting companies have become an interest that attracts attention and protection as they fall within the foundations of the public economic order, which in turn constitutes an area in which the legislator intervenes by using the means of drain in order to strike a balance between individuals' free initiative and the imperatives of adherence to the general principles governing economic transactions based primarily on security, transparency and respect for the interests of the customers. In order to activate and raise the responsibility of the managers of commercial companies that are the most important components of public economic order, the role of the Public Prosecutor's Office in this area and how it deals with the provocation of public proceedings in this regard and how to detect acts in respect of which the managers are liable must be examined. |
