| المستخلص: | يتأسس اعتماد المشرع المغربي للصورية كسبب من أسباب تمديد المسطرة على حصر تطبيق مقتضياتها على الشخص الاعتباري المدين أي الشركة التجارية دون الشخص التاجر الذاتي، والهدف منها ردع كل من تسول لهم أنفسهم العبث بالوضع المالي للشركة التي يتحكمون في مصيرها، من خلال قرارات لا تخدم المصلحة الاجتماعية، مع ما يستتبع تحميلهم مسؤولية أخطاءهم التقصيرية تجاه المقاولة، وجعلهم الجهة الوحيدة المسؤولة عن النقص الحاصل في أصول الشركة بسبب هذه الصورية. ودعوى تمديد المسطرة بسبب صورية الشخص الاعتباري، تنشأ من خلال الاتفاقات المخالفة للحقيقة، والمبرمة بين الممثل القانوني أو مسير للشركة التجارية وطرف آخر، ينجم عنها ضرر مالي يتجسد عمليا في نقص واضح في باب أصول المقاولة، يتم بموجبه تحميل المتسبب في الضرر لهذا النقص، كما أنها دعوى قضائية مستجدة ومسماة في التشريع المغربي كباقي الدعاوى الأخرى، مما يتعين معه ضرورة تحديد المحكمة المختصة للبت فيها وتحديد من له الصفة في تحريكها والأشخاص الذين يواجهون بهذه الدعوى، وطبيعة الحكم الصادر بشأنها من حيث خضوعه لطرق الطعن المخولة له قانونا، كما أنها تخضع للتقادم الخاص المعمول به في منازعات صعوبات المقاولة. The Moroccan legislator’s adoption of fictitiousness as one of the reasons for extending the procedure is limited to the application of its requirements to the debtor legal person, i.e. the commercial company, without the self-trading person, and its aim is: to deter anyone who tempts himself to tamper with the financial situation of the company whose fate they control, through decisions that do not serve the social interest. , with what entails holding them responsible for their negligent mistakes towards the contracting company, and making them the only party responsible for the decrease in the company's assets due to this sham. The lawsuit for extending the procedure because of the sham of the legal person, arises through agreements contrary to the truth, and concluded between the legal representative or manager of the commercial company and another party, which results in financial damage that is practically embodied in a clear deficiency in the section of the contracting assets, according to which the one who caused the damage is charged with this deficiency, and it is also An emerging lawsuit, named in Moroccan legislation, like all other lawsuits, the competent court must be determined to decide on it, who has the capacity to initiate it, the persons against whom this lawsuit is opened, and the nature of the ruling issued in its regard in terms of being subject to appeal according to the legally authorized methods, and it is subject to for obsolescence. |
