| المستخلص: | تبرم عقود الوكالة التجارية على أساس المصلحة المشتركة للوكيل والموكل وذلك طبقا للمقتضيات القانونية الواردة في مدونة التجارة المغربية، وتشكل هذه القاعدة استثناء على القواعد العامة المنظمة للوكالة العادية التي تخول للموكل إنهاء العقد بإرادته المنفردة. وتكمن الفلسفة من وراء هذه القاعدة في إحقاق التوازن بين طرفي العقد من خلال إقرار التعاون المشترك بينهما في التنفيذ بما يضمن تحقيق الاستفادة المشتركة وتكريس حماية الوكيل من تعسف الموكل في إنهاء العقد من خلال تخويل الحق في التعويض عن الضرر الذي يمكن أن يلحق بالوكيل. Commercial mandate contracts are concluded on the basis of the common interest of the contracting parties, in accordance with the legal requirements contained in the Moroccan Commercial Code, and this rule constitutes an exception to the general rules governing the ordinary agency, which authorizes the principal to terminate the contract of his repulsive will. The philosophy behind this rule lies in achieving a balance between the parties to the contract by approving joint cooperation between them in implementation in a way that ensures mutual benefit and dedicates the protection of the agent from the client's arbitrariness in terminating the contract by granting the right to compensation for the damage that may be caused to the agent. |
