| المستخلص: | نظرا لحداثة موضوع الشركات غير الربحية، فقد بينا من خلال هذا البحث لأهميتها والدور الذي تقوم به في المجتمعات المختلفة، سواء في مجال التعليم أو الصحة أو الرياضة أو الخدمات الاجتماعية والثقافية. وقد تبين من خلال الدراسة أن بعض التشريعات المقارنة عملت على إرساء دعائم هذا النوع من الشركات مثل القوانين الصادرة عن بعض الولايات الأمريكية، والقانون الكندي، وكذلك القانون الأردني، والكويتي. والبحث ينقسم إلى فصلين، الأول عرف ماهية الشركات غير الربحية وخصائصها وما يميزها عن الأنظمة القانونية المشابهة. أما الفصل الثاني فقد تناول الأحكام الخاصة بإدارة الشركة وكيفية الرقابة عليها؛ وقد توصلت الدراسة إلى خاتمة ومجموعة من التوصيات، أهمها؛ حث المشرع المصري على إصدار تنظيم قانوني لها، وكذلك وجوب تحديد مجالات عمل الشركات غير الربحية بشكل واضح، بالإضافة إلى وضع قواعد رقابية صارمة على الشركات غير الربحية لمعرفة مصادر أموالها ولضمان جدية نشاطاتها. Because of the modernity of "non-profit companies", we have shown through this research its importance and the role it plays in different societies, whether in the field of education, health, sports, or social and cultural services. It was found through the study that, some comparative legislation worked to lay the foundations for this type of companies, such as laws issued by some American states, Canadian law, as well as Jordanian, and Kuwaiti law. The research is divided into two chapters. The first defines the nature of non-profit companies, their characteristics, and what distinguishes them from similar legal systems. As for the second chapter, it dealt with the provisions related to the management of the company and how to monitor it. The study reached a conclusion and a set of recommendations, the most important of which are; Urging the Egyptian legislator to issue a legal regulation for them, as well as the necessity of clearly defining the fields of work of non-profit companies, in addition to setting strict control rules for non-profit companies to know the sources of their funds and to ensure the seriousness of their activities. |
