| المستخلص: | تتمثل شركات التوصية في شركة التوصية البسيطة والتي تعتبر من أهم شركات الأشخاص، وشركة التوصية بالأسهم والتي تعتبر من شركات الأموال وعلى الرغم من الاختلاف بين طبيعة الشركتين إلا أنهما تتشابهان في كونهما تضمان طائفتين من الشركاء، شركاء متضامنين يتحملون مسؤولية شخصية تضامنية مطلقة عن ديون الشركة وشركاء موصين تتحدد مسؤوليتهم عن ديون الشركة بمقدار حصصهم في رأسمالها، هذا الاختلاف في المسؤولية أدى إلى اختلاف حقوقهم والتزاماتهم، حيث حرم المشرع الجزائري الشريك الموصي من بعض الحقوق لاسيما الحق في دخول اسمه في عنوان الشركة، كذلك حقه في إدارة الشركة، وهذا ما أدى بالمستثمرين إلى العزوف عن الدخول كشركاء موصين في مثل هذه الشركات. The limited partnership companies are represented by the simple partnership company, which is considered one of the most important people’s companies, and the limited partnership by shares, which is considered one of the capital companies. Despite the difference between the nature of the two companies, they are similar in that they include two sorts of partners, solidarity partners who bear personal, joint and absolute liability for the debts of the company and limited partners whose liability for the debts of the company is determined by the amount of their shares in its capital. And their obligations, as the Algerian legislator deprived the limited partner of some rights, especially the right to enter his name in the address of the company, as well as his right to manage the company, and this is what led investors to refrain from entering as limited partners in such companies. |
