| 520 | |a هدف هذا البحث إلى اختبار أثر مشاركة المرأة في مجلس الإدارة على تفعيل دور المجلس في تحقيق أهداف حوكمة الشركات، وذلك في محاولة للوقوف على مدى جدوى قراري الهيئة العامة للرقابة المالية رقمي (123، 124) لسنة 2019 والمتعلقان بإلزام الشركات المصرية المخاطبة بهذين القرارين بأن تضم مجالس إداراتها على الأقل امرأة واحدة. وقد اعتمد الباحثان على الأداء المالي للشركة، وجودة أرباحها، وقيمتها السوقية، ومقدار الجهد المبذول من قبل مجلس الإدارة، ومقدار الجهد المبذول من قبل لجنة المراجعة كمؤشرات لفعالية مجلس الإدارة (ولجنة المراجعة كأحد اللجان الهامة المنبثقة منه) في تحقيق أهداف حوكمة الشركات. وبتحليل بيانات عينة من الشركات المصرية المقيدة خلال الفترة من 2014 إلى 2019 توصل الباحثان إلى عدم وجود فروق معنوية ذات دلالة إحصائية في جميع المؤشرات السابقة بين الشركات المصرية ذات مجالس الإدارة المتنوعة جنسياً (ولجان المراجعة المتنوعة جنسياً) والشركات المصرية ذات مجالس الإدارة غير المتنوعة جنسياً (ولجان المراجعة غير المتنوعة جنسياً)، مما يعنى عدم وجود تأثير لمشاركة المرأة سواء في مجلس الإدارة أو في لجنة المراجعة على تفعيل دورهما في تحقيق أهداف حوكمة الشركات. ومن ثم توصل الباحثان إلى عدم جدوى قراري الهيئة العامة للرقابة المالية، وضرورة أن يكون المحدد الرئيسي لاختيار أعضاء مجلس الإدارة هو قدرة وكفاءة وخبرة الشخص في مجال إدارة الأعمال بغض النظر عن جنسه. | ||
| 520 | |b The aim of this research is to investigate the impact of female participation in the Board of Directors on activating the role of the Board in achieving corporate governance objectives. In particular, research seeks to determine the feasibility of two obligated decisions released by the Financial Regulatory Authority (No. 123, 124) of 2019. For instance, the companies are obligated to include at least a female in their boards of directors. The authors put their emphasize on company's financial performance, profits' quality, market value, the amount of effort exerted by the board of directors, and the amount of effort exerted by the audit committee; as indicators of the effectiveness of the board of directors (and the audit committee as one of the important committees emanating from it) in achieving corporate governance objectives. A sample of registered companies in Egyptian stock exchange market during 2014 - 2019 has been used. The authors found that there were no statistically significant differences in all previous indicators between Egyptian companies with gender diverse boards of directors (and gender-diverse audit committees) and Egyptian companies with non-diverse boards of directors (and audit committees that are not gender diverse). This means that the participation of women, whether in the board of directors or in the audit committee, has no effect on activating their role in achieving corporate governance goals. The authors concluded that the decisions of the Financial Regulatory Authority were useless, and that the main determinant for selecting members of the boards of directors was the ability, competence and experience of a person in the field of business administration, regardless of his gender. | ||
